ProAutoSites Terms of Service

Service and accounts

ProAutoSites provides hosted dealer websites, inventory tools, lead capture, appointment and follow-up tools, basic CRM features, reporting, and plan-specific services described on the current pricing page or in a written order. The service is not a dealership management system, accounting system, title service, lender, credit bureau, law firm, or tax adviser.

You are responsible for accurate account information, authorized users, secure credentials, and activity under your account. Tell us promptly through the contact page if you suspect unauthorized access.

Dealership responsibilities

You control your inventory, prices, advertisements, disclosures, lead responses, communications, and dealership business practices. You are responsible for their accuracy and legality, including required vehicle, pricing, privacy, accessibility, advertising, texting, email, consumer-credit, and recordkeeping obligations. Estimates, calculators, finance-interest forms, and AI-assisted drafts require dealership review and do not constitute financing approval, legal advice, or a guaranteed transaction.

Subscriptions and recurring billing

Paid plans are subscriptions that renew automatically at the interval shown at checkout or in your written order, ordinarily monthly, until canceled. By submitting a payment method, you authorize ProAutoSites and its payment processor to charge the disclosed plan price, separately disclosed domain charges, applicable taxes, and any other charges you expressly approve. Prices and included features may vary by plan.

We may change future pricing or plan terms by giving reasonable advance notice. If a payment fails, we may retry the charge, ask you to update the payment method, limit paid features, or suspend service. You remain responsible for amounts incurred before cancellation or suspension.

Domains

A new domain selected during signup is priced separately, is subject to registrar availability, and ordinarily renews annually until canceled or transferred. Domain registration and renewal charges are not included in the monthly plan price unless the checkout or a written order expressly says otherwise. If you connect an existing domain, you remain responsible for its registrar account, renewal, ownership, and access unless a written order states otherwise.

You must provide accurate registration information and cooperate with verification or transfer requests. Registry, registrar, ICANN, and third-party policies may apply. We cannot guarantee that a requested domain will remain available before registration completes.

Cancellation and refunds

You may cancel future subscription renewal through available account billing controls or by submitting a clear request through the contact page. Unless we tell you otherwise when cancellation is confirmed, service continues through the paid billing period and then ends. Cancel before the next renewal to avoid the next charge.

Charges already incurred are nonrefundable except when required by law or expressly stated in a written order, promotion, or refund confirmation. If you believe a charge is incorrect, contact us promptly so we can investigate. Canceling a plan does not automatically transfer or cancel a separately registered domain; include domain instructions in your request.

Customer content and data

You retain ownership of content and data you submit. You grant ProAutoSites a limited, nonexclusive license to host, copy, process, display, transmit, and adapt that material only as needed to provide, secure, support, and improve the service and to comply with law. You confirm that you have the rights and permissions needed for submitted logos, photos, listings, reviews, contact records, and other material.

Each dealership determines the purposes and means of processing shopper information collected on its dealer website; ProAutoSites processes that information to provide the configured service. The Privacy Policy describes platform data practices. You are responsible for responding to requests that concern your dealership’s records and for exporting data you need before service ends.

Acceptable use

You may not use the service to break the law; misrepresent vehicles, prices, financing, identity, or affiliation; send communications without required consent; upload malicious code or unlawful content; infringe another person’s rights; access another customer’s data; defeat security or rate limits; scrape or reverse engineer protected portions of the service; or interfere with platform operation. We may investigate suspected abuse and restrict activity when reasonably necessary to protect customers, shoppers, the platform, or the public.

Third-party services

The service may connect with payment processors, registrars, email and messaging providers, maps, analytics, inventory feeds, marketplaces, credit or e-sign providers, and other services. Their terms, availability, fees, and data practices may apply separately. ProAutoSites is not responsible for a third party’s independent service, decision, outage, or policy change, but we will provide reasonable assistance for supported integrations.

Warranties and limits of liability

We will provide the service with reasonable care and work to correct confirmed defects. Except for express commitments in these Terms or a written order, the service is provided “as is” and “as available,” and we disclaim implied warranties to the extent the law permits. We do not guarantee uninterrupted operation, a particular search ranking, lead volume, sale, financing outcome, or business result.

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. ProAutoSites’ aggregate liability arising from the service will not exceed the fees you paid for the affected service during the six months before the event giving rise to the claim. These limits do not apply where the law prohibits them or to a party’s fraud, willful misconduct, infringement, or breach of confidentiality obligations.

Suspension and termination

Either party may end the service as allowed by these Terms or a written order. We may suspend or terminate service for material breach, unlawful or dangerous use, security risk, nonpayment, or conduct that threatens the platform or others. When practical, we will give notice and an opportunity to cure. Terms that by their nature should continue — including payment obligations, ownership, warranty disclaimers, liability limits, and dispute provisions — survive termination.

General terms

Washington law governs these Terms, without regard to conflict-of-law rules. Before filing a claim, each party will give the other written notice and 30 days to try to resolve the dispute informally. Courts located in Spokane County, Washington will have exclusive jurisdiction, unless applicable law requires another forum.

These Terms, the Privacy Policy, the checkout disclosures, and any written order are the entire agreement for the service. A written order controls if it expressly conflicts with these Terms. You may not assign the agreement without our consent, except with a merger or sale of substantially all relevant assets. We may assign it as part of a reorganization, merger, acquisition, or asset transfer. If one provision is unenforceable, the others remain effective. Delay in enforcing a provision is not a waiver.

We may update these Terms to reflect service, legal, or operational changes. We will post the revised date and provide additional notice when a material change affects an active subscription. Continued use after the effective date constitutes acceptance to the extent permitted by law.
